Court Halts Sale of Ardagh Metal Packaging

A judge presiding over summary proceedings at the Luxembourg District Court has issued an order against Ardagh Holdings S.A. The order prohibits the company from proceeding, in whole or in part, with the sale of its shares in its metal packaging subsidiary, Ardagh Metal Packaging S.A.
According to Ardagh, the injunction follows a unilateral (ex parte) motion filed by certain minority creditors of the senior secured “toggle” bonds maturing in 2027. These bonds were issued by ARD Finance S.A., a parent company of Ardagh Group S.A., prior to its recapitalization transaction completed in November 2025.
According to the announcement, the order against Ardagh Holdings S.A. was issued without the company having had an opportunity to present its case. Ardagh is firmly convinced that the order is unfounded and has already filed a motion to have it set aside.
Ardagh Holdings S.A. had announced plans for a potential sale of Ardagh Metal Packaging on August 13, 2026, and outlined several options for such a transaction. The company had not set a deadline or a binding timeline for the completion of the potential sale process.
The Ardagh Group’s metal packaging subsidiary operates 23 beverage can plants in nine countries, employs approximately 6,500 people, and generated revenue of $5.5 billion in 2025.
